These Terms of Use govern your access to and use of the binate.in website (the “Site”), operated by Binate Solutions Private Limited (“Binate”, “we”, “us”), with its registered office at 745, 5th Block, 5th Main, HMT Layout, Vidyaranyapura, Bengaluru 560054, India. By using the Site, you agree to these terms.

1. The Site is informational

The Site describes Binate’s offering as an India hub partner that helps founders hire, employ, and run engineering teams in India. Nothing on the Site is a binding offer or contract. Any engagement with Binate is governed by a separate Master Services Agreement (MSA) and Statement of Work (SOW) executed between you and Binate.

2. Permitted use

You may use the Site for your own information and to contact us about engaging Binate. You agree not to:

• Use the Site in violation of any applicable law or regulation.
• Scrape, crawl, or systematically extract content from the Site, except for routine indexing by reputable search engines.
• Attempt to gain unauthorised access to the Site, our backend systems, or related infrastructure.
• Introduce malware, attempt to disrupt the Site, or impersonate another person or company.
• Use the contact form or any email address listed on the Site for unsolicited marketing, recruitment outreach, or spam.

3. Intellectual property

All content on the Site, including text, graphics, logos, illustrations, and the “Binate” name and brand, is owned by or licensed to Binate Solutions Private Limited and is protected by intellectual property laws. You may not copy, republish, or use this content for commercial purposes without our prior written consent. Brief quotation with attribution and a link back to binate.in is permitted.

4. Submissions

When you submit information through the contact form or by emailing us, you confirm that the information is accurate and that you are authorised to share it. We handle personal information in line with our Privacy Policy.

5. Third-party links and content

The Site may link to third-party websites or services. We do not control and are not responsible for the content, policies, or practices of those third parties. Following a link is at your own risk.

6. No professional advice

Content on the Site is general information about how Binate works and is not legal, tax, financial, employment, or compliance advice. You should obtain your own professional advice before making decisions based on any information on the Site.

7. Disclaimers

The Site is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation of the Site.

8. Limitation of liability

To the maximum extent permitted by law, Binate, its directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Site. Our total aggregate liability for any claim arising from or related to the Site is limited to INR 1,000. This clause does not limit any liability that cannot be excluded under applicable law.

9. Commercial terms are separate

The terms governing any engagement between you and Binate, including pricing, scope, replacement guarantees, IP assignment, confidentiality, payment terms, and notice periods, are set out in the executed MSA and SOW between the parties and not on this Site. In the event of any conflict, the MSA and SOW will prevail over the Site.

10. Changes

We may update these Terms of Use from time to time. The “Last updated” date at the top of this page reflects the latest version. Continued use of the Site after changes are posted constitutes acceptance of the updated terms.

11. Governing law and jurisdiction

These Terms of Use are governed by the laws of India. The courts at Bengaluru, India, shall have exclusive jurisdiction over any dispute arising from or related to the Site or these terms.
